1. Acceptance of Terms

By accessing or using the SkillRise Careers platform ("the Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and SkillRise Careers (Pty) Ltd ("we", "us", or "our").

We reserve the right to update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. We will make reasonable efforts to notify registered users of material changes via email or platform notification.

2. Description of Service

SkillRise Careers is a skills-first recruitment platform that connects job seekers with employers through verified skills matching. Our services include:

• Voice-powered profile creation and skills extraction
• SkillScore generation and skills verification
• AI-powered candidate-to-job matching
• Employer dashboards for talent sourcing and management
• Communication tools between employers and candidates
• Analytics and reporting on recruitment activities

The Platform is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation of the Platform.

3. User Accounts

To access certain features, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activity that occurs under your account
• Notify us immediately of any unauthorised access or use of your account

You must be at least 18 years of age to create an account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be fraudulent.

4. User Responsibilities

When using the Platform, you agree not to:

• Provide false, misleading, or inaccurate information
• Impersonate any person or entity
• Use the Platform for any unlawful purpose
• Attempt to gain unauthorised access to the Platform or other users' accounts
• Transmit viruses, malware, or other harmful code
• Scrape, data mine, or use automated tools to extract data from the Platform
• Harass, abuse, or discriminate against other users
• Post job listings that are fraudulent, misleading, or discriminatory
• Use candidate information obtained through the Platform for any purpose other than legitimate recruitment

5. Intellectual Property

All content, design, graphics, logos, software, algorithms, and code on the Platform are the intellectual property of SkillRise Careers or its licensors and are protected by South African and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any Platform content without our prior written consent. Your use of the Platform does not grant you ownership of any intellectual property rights in the Platform or its content.

You retain ownership of the content you submit to the Platform (such as your profile information, voice recordings, and uploaded documents). By submitting content, you grant us a non-exclusive, worldwide licence to use, process, and display that content for the purpose of providing our services.

6. Employer Terms

Employers using the Platform additionally agree to:

• Post only genuine, currently available job vacancies
• Provide accurate job descriptions, requirements, and compensation information
• Comply with all applicable South African employment and labour legislation, including the Employment Equity Act and the Labour Relations Act
• Not discriminate against candidates on the basis of race, gender, age, disability, religion, sexual orientation, or any other protected characteristic
• Use candidate information solely for the purpose of evaluating their suitability for vacancies
• Maintain the confidentiality of candidate information obtained through the Platform
• Provide timely feedback to candidates who have applied for positions

7. Job Seeker Terms

Job seekers using the Platform additionally agree to:

• Provide truthful and accurate information about their skills, qualifications, and experience
• Not misrepresent their identity, qualifications, or employment history
• Respond to employer communications in a timely and professional manner
• Notify us if they are no longer seeking employment so their profile can be updated accordingly
• Understand that the Platform facilitates introductions and does not guarantee employment

SkillRise Careers is not an employment agency and does not act as an agent for either job seekers or employers. We facilitate connections but are not a party to any employment agreement.

8. Payment Terms

Employer accounts operate on a subscription basis. Payment terms are as follows:

• All prices are quoted in South African Rand (ZAR) and are inclusive of VAT where applicable
• Subscriptions are billed monthly or annually, depending on your chosen plan
• Payments are processed securely through PayFast, a registered South African payment service provider
• Subscriptions auto-renew unless cancelled before the renewal date
• Refunds are handled on a case-by-case basis; no refunds are provided for partial billing periods
• A once-off setup fee may apply to new employer accounts
• We reserve the right to change pricing with 30 days' written notice to existing subscribers

Job seeker accounts are free. We will never charge job seekers for creating a profile, receiving matches, or applying for positions.

9. Limitation of Liability

To the maximum extent permitted by South African law:

• SkillRise Careers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
• Our total liability for any claim arising from or related to the Platform shall not exceed the amount paid by you to us in the 12 months preceding the claim
• We are not responsible for the conduct of any user, employer, or job seeker on or off the Platform
• We do not guarantee the accuracy, completeness, or reliability of any user-submitted content, including job listings and candidate profiles
• We are not liable for any employment decisions made as a result of information obtained through the Platform

10. Disclaimer

The Platform and its services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that: (a) the Platform will meet your specific requirements; (b) the Platform will be uninterrupted, timely, secure, or error-free; (c) the results obtained from using the Platform will be accurate or reliable; or (d) any errors in the Platform will be corrected.

11. Termination

You may close your account at any time by contacting us at hello@skillrisecareers.co.za. Upon termination:

• Your access to the Platform will cease immediately
• Your personal data will be handled in accordance with our Privacy Policy
• Any outstanding payments remain due and payable
• Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) will continue in effect

We reserve the right to suspend or terminate your account immediately, without prior notice, if we reasonably believe you have violated these Terms or engaged in fraudulent or illegal activity.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising from or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Gauteng, South Africa.

Before initiating legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may refer the matter to mediation before pursuing litigation.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we will provide additional notice such as an email to registered users or a prominent notice on the Platform.

Your continued use of the Platform following any changes constitutes your acceptance of the revised Terms. If you do not agree with the updated Terms, you must discontinue use of the Platform and close your account.

15. Fair Usage Policy

The Platform includes AI-powered features, automated email communications, and data storage. A fair usage policy applies to all accounts to ensure a consistent and reliable experience for every user on the platform.

Each subscription plan includes a monthly allocation of AI credits (covering skills extraction, candidate matching, and profile analysis), email sends, and storage. Your current usage and remaining credits are visible in your account dashboard at all times.

15.1 Usage Notifications

We will notify you by email when you reach 80% of any monthly allocation, giving you time to manage your usage or purchase additional credits before reaching your limit.

15.2 Purchasing Additional Credits

If you reach your monthly limit, you can purchase additional credits directly from your dashboard. Additional credits are available for the remainder of your current billing cycle and do not carry over to the next month. Your standard allocation resets automatically at the start of each billing period.

15.3 What Happens at Your Limit

• Core platform features (viewing your dashboard, managing jobs, browsing candidates) remain fully accessible
• AI-powered actions (new skills extractions, new match calculations) are paused until credits are topped up or your allocation resets
• We will never delete your data or suspend your account access due to fair usage limits

Allocations are reviewed periodically and may be adjusted with 30 days' notice. They are designed to generously accommodate normal business usage.
